TERMS OF SERVICE

1. Acceptance of Terms

Welcome to AItoSong.com ("AItoSong," "Company," "we," "our," or "us"), operated by Dreamspark AI LLC, a company registered in the United States. By accessing or using https://www.aitosong.com (the "Site") and our AI music and lyric generation services (collectively, the "Service"), you agree to these Terms of Service (the "Terms").

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICE. BY ACCESSING, BROWSING, OR OTHERWISE USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MAY NOT ACCESS OR USE THE SERVICE.

These Terms are a legally binding agreement between you and Dreamspark AI LLC. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Changes to Terms

We may revise these Terms at any time in our sole discretion. When we do, we may:

Post the revised Terms on this page
Update the effective date at the top of the page
Send email notice for material changes
Display a prominent Service notice for significant changes

Your continued use of the Service after revised Terms become effective means you accept the revised Terms. If you do not agree, you must stop using the Service.

Material changes will generally become effective 30 days after posting unless we state otherwise.

3. Description of Service

AItoSong.com is an AI music creation platform that allows users to generate songs, music, and lyrics from text inputs and related creative direction.

References in these Terms to AI music creation or similar phrases describe the Service capabilities and do not describe a separate standalone product.

Core Features:

AI music generation from text prompts
Customizable music styles and genres
Lyrics Generator for text-only lyric drafting
Lyrics generation and integration where applicable
Audio downloads in WAV and MP3 for eligible paid plans
Song extension tools for eligible paid plans
Cloud storage for generated content
Gallery publication for free-plan generations

Primary Generation Tools:

AI Song Generator: generates songs with vocals and instrumentals
Text to Music: generates instrumental and background music
Lyrics Generator: generates lyrics in text form only

Post-Generation Assistance Tools: After generation, the Service may provide additional tools to work with your outputs, including but not limited to:

Extend
Vocal Remover
Get Stems
Extract MIDI

We may add or remove tools from time to time.

Subscription Tiers:

Free Plan ($0/month):

3 credits per day
Up to 3 song generations per day
Maximum song length: 3 minutes
30-day cloud storage
Daily free generation limits
Automatic public Gallery posting for generated songs
No commercial license; personal use only
No song extension feature
No private generations
No download capability; streaming only
Generated music remains the property of Dreamspark AI LLC (see Section 6)
Attribution required when sharing (see Section 6)

Starter Plan:

Monthly: $15/month
Annual: $10/month billed as $120/year, a 33% savings versus monthly
150 credits per month
Up to 300 songs per month (up to 150 generations)
Access to premium generation features and models
Full commercial license and ownership transfer (see Section 6 and License Agreement)
Song extension
Private generations
Unlimited MP3 and WAV downloads
730-day cloud storage
Cancel anytime

Plus Plan:

Monthly: $29/month
Annual: $14.5/month billed as $174/year, a 50% savings versus monthly
500 credits per month
Up to 1,000 songs per month (up to 500 generations)
Access to premium generation features and models
Full commercial license and ownership transfer (see Section 6 and License Agreement)
Song extension
Private generations
Unlimited MP3 and WAV downloads
730-day cloud storage
Cancel anytime

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.

4. User Accounts and Registration

4.1 Account Creation

To access certain Service features, you must create an account. You agree to:

Provide accurate, current, and complete registration information
Keep account information current
Maintain the confidentiality of your password
Notify us promptly of unauthorized account access
Remain responsible for activity under your account

You may not:

Create multiple accounts to circumvent limits
Share account credentials with others
Use another person's account without permission
Register with false or misleading information

4.2 Age Requirement

You must be at least 13 years old to use the Service. If you are between 13 and 18 years old, or under the age of majority in your jurisdiction, you may use the Service only with the involvement of a parent or legal guardian.

4.3 Account Termination

You may terminate your account by contacting support@aitosong.com. Upon termination:

Access to paid features ends immediately
Data is retained for 90 days before permanent deletion
No refund is issued for unused subscription time except as described in Section 5.4
Generated content is deleted according to the retention policy
Free plan users lose any limited right to use generated content commercially, because no such commercial right exists
Paid plan users keep rights already granted for content generated during an active paid subscription, subject to Section 6 and the License Agreement

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason in our sole discretion, with or without notice.

5. Subscription Plans and Billing

5.1 Paid Subscriptions

By subscribing to a paid plan, you agree to pay the fees shown on the pricing page. Fees are:

Charged in advance on a monthly or annual basis
Non-refundable except as expressly stated in these Terms
Subject to change with 30 days' notice
Exclusive of taxes, which are your responsibility

Current pricing:

Starter Plan: $15/month or $10/month billed annually ($120/year)
Plus Plan: $29/month or $14.5/month billed annually ($174/year)

5.2 Automatic Renewal

Subscriptions renew automatically at the end of each billing period unless canceled before renewal. You authorize us to charge your payment method for renewal fees.

To cancel auto-renewal:

Open your account settings
Select "Cancel Subscription"
Complete the cancellation steps
Finish cancellation at least 24 hours before renewal

5.3 Payment Processing

Payments are processed securely through Stripe, our third-party payment processor. We do not store full payment card information on our servers.

5.4 Refund Policy

Fees are generally non-refundable. We may, in our discretion, issue refunds in circumstances such as:

Technical failures that prevent use of core features and cannot be resolved in a reasonable time
Billing errors caused by system issues
Account compromise resulting in unauthorized charges
No refund for unused time when you voluntarily cancel

Refund requests must be sent to support@aitosong.com within 30 days of the charge and are subject to review.

5.5 Plan Changes

You may upgrade, downgrade, or cancel your subscription at any time:

Upgrade: effective immediately with prorated billing for the remainder of the current period
Downgrade between paid plans: effective at the downgrade time; rights for previously generated content remain as granted at generation time
Cancel from paid plan to free or no active subscription: effective at the end of the current billing period; no refund for unused time

Important effects of canceling a paid subscription:

Future generations made without an active paid subscription do not receive commercial rights
Previously generated paid-plan content keeps the rights granted at the time of generation
New content generated without an active paid subscription has no commercial license

6. Intellectual Property Rights

6.1 Ownership of Generated Content

Paid Plans (Starter and Plus): complete ownership transfer during an active paid subscription

When you fully pay for an eligible paid plan, you own all right, title, and interest in the music, songs, and lyrics you generate during an active paid subscription period, including available intellectual property rights.

That means:

You own copyright in generated audio recordings where applicable
You own rights in generated lyrics where applicable
You may use generated content for lawful commercial and non-commercial purposes
You may modify, distribute, and sell generated content
No attribution to AItoSong.com is required, although it is appreciated
You may register copyright in your own name where legally available

Company representations for paid plans:

We assign rights in eligible paid-plan generated content to you and keep no ownership interest in it
We will not use your paid-plan generated content without your permission except as required to operate the Service before ownership transfer applies
We do not claim copyright or other ownership rights in your paid-plan generated content

Free Plan: no ownership transfer

Content generated on the Free Plan remains the property of Dreamspark AI LLC. Free plan users receive only a limited, personal, non-commercial license.

Free plan users:

Do not own generated content
Do not receive commercial rights or licenses
May not monetize, sell, or commercially exploit the content
May not download audio files
Must credit AItoSong.com when sharing
May use content only for personal, non-commercial purposes
Understand that free-plan songs may be published to the public Gallery

To receive ownership and commercial rights, you must generate the content during an active Starter or Plus subscription.

6.2 Service Ownership

The Service itself, including software, algorithms, AI models, website design, text, graphics, logos, and non-user content, is owned by Dreamspark AI LLC and protected by applicable intellectual property law.

6.3 User Content

You keep ownership of text prompts, lyrics, and other material you submit ("User Content"). By submitting User Content, you grant us a limited license to:

Process your submissions in order to generate music and/or lyrics
Store submissions for account functionality
Use anonymized and aggregated data to improve the Service

6.4 Trademarks

"AItoSong," "AItoSong.com," and related marks used in connection with the Service are trademarks of Dreamspark AI LLC. You may not use our marks without prior written permission.

6.5 Copyright Infringement Claims

If you believe content on the Service infringes your copyright, contact support@aitosong.com and include:

Your contact information
A description of the copyrighted work
The location of the allegedly infringing content
A good-faith statement that the use is unauthorized
A statement that the information is accurate and that you are authorized to act

7. Acceptable Use Policy

You agree to use the Service only for lawful purposes. You agree not to:

Violate any law or regulation
Engage in fraud or criminal activity
Create content that infringes third-party intellectual property rights
Generate defamatory, obscene, illegal, or harmful content
Harass, threaten, or bully others
Attempt unauthorized access to, scrape, overload, or disrupt the Service
Circumvent usage limits
Use free-plan content commercially
Resell the Service or create competing services from it
Use the Service to train competing AI models
Impersonate others or misrepresent your affiliation

We may monitor usage and enforce these Terms, including by suspension or termination without refund.

8. AI-Generated Content Disclaimer

8.1 Nature of AI-Generated Content

You acknowledge that:

AI-generated music or lyrics may resemble existing works
We do not guarantee outputs are unique or original
Paid users are responsible for ensuring commercial use does not infringe third-party rights
Output quality may vary and is provided as is
We do not guarantee freedom from third-party claims

8.2 User Responsibility (Paid Plans Only)

Before using generated content commercially, you should:

Review the output for possible issues
Conduct clearance searches if necessary
Consult legal counsel for high-stakes commercial uses
Understand the copyright rules in your jurisdiction

8.3 Indemnification for AI Content

Paid plan users agree to indemnify us against claims arising from commercial use. Free plan users are prohibited from commercial use. See Section 13.

9. Limitation of Liability

9.1 Service Provided As Is

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND.

9.2 No Liability for Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DREAMSPARK AI LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

9.3 Limitation on Direct Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF:

$100 (ONE HUNDRED U.S. DOLLARS), OR
THE TOTAL SUBSCRIPTION FEES YOU PAID TO US DURING THE SIX (6) MONTHS BEFORE THE CLAIM

9.4 Exceptions

If your jurisdiction does not allow certain limitations, liability will be limited to the maximum extent permitted by applicable law.

9.5 Third-Party Services

We are not responsible for third-party websites, services, or payment processor actions.

10. Data Storage and Backup

10.1 Cloud Storage

Storage by plan:

Free Plan: 30 days
Starter Plan: 730 days
Plus Plan: 730 days

10.2 Your Backup Responsibility

You are solely responsible for backing up generated content. We recommend downloading and storing important files. Free plan users cannot download audio.

10.3 Account Deletion

If your account is deleted:

Data is retained for 90 days
After 90 days, it may be permanently deleted
Certain information may be retained where required by law

11. Privacy and Data Protection

Your privacy is governed by our Privacy Policy, which is incorporated by reference: https://www.aitosong.com/privacy

12. Dispute Resolution and Governing Law

12.1 Governing Law

These Terms are governed by the laws of the State of Wyoming, United States.

12.2 Jurisdiction and Venue

Exclusive venue lies in the state or federal courts located in Wyoming.

12.3 Informal Resolution

Please contact support@aitosong.com first. We will attempt informal resolution within 30 days.

12.4 Class Action Waiver

Claims must be brought only on an individual basis and not as part of a class action.

12.5 Time Limitation

Any claim must be filed within one (1) year.

13. Indemnification

You agree to indemnify, defend, and hold harmless Dreamspark AI LLC from claims arising out of:

Your use or misuse of the Service
Your violation of these Terms
Your violation of third-party rights
Your User Content or generated content
Paid plans only: claims that your commercial use infringes third-party rights
Free plans: unauthorized commercial use

14. Communication and Notices

Electronic communications apply to the Service, including how we contact you and how you may contact us.

15. General Provisions

Entire agreement, severability, and no waiver apply to these Terms.

15.1 Commercial License Certificate (Rights Confirmation)

AItoSong.com may provide a Commercial License Certificate for certain paid-plan generated audio tracks as a convenience and proof of rights. The certificate:

Confirms that the track was generated during an active paid subscription period
Refers back to these Terms and the License Agreement
Does not grant rights beyond those already provided in these Terms and the License Agreement
Does not guarantee originality or the absence of similarity to existing works
